Legion Partners signs a voting and support agreement for Lifecore Biomedical, Inc.'s merger

Legion Partners Asset Management, LLC filed a Schedule 13D amendment on Sept. 28, 2026 reporting beneficial ownership of 6,991,719 shares of Lifecore Biomedical, Inc. Common Stock, par value $0.001 per share, or 17.3% of the class. The filing gives Sept. 27, 2026 as the date of the event that required it.

In Item 4, the filing says:

"On September 27, 2026, in connection with the execution of the Merger Agreement, the Reporting Persons entered into a voting and support agreement (the "Voting Agreement") with the Issuer and Parent."

The filing is made jointly with Legion Partners, L.P. I, Legion Partners, L.P. II, Legion Partners, LLC, Legion Partners Holdings, LLC and others.
